These Terms of Service ("Terms") govern your access to and use of the website, platform, and services operated by Heimat LLC, a Wyoming limited liability company doing business as RealBody.AI ("Company," "we," "us," or "our"), located at 30 N Gould St Ste R, Sheridan, WY 82801.
By accessing the RealBody.AI website at https://realbody.ai, creating an account, or using any feature of the platform, you ("Customer," "you," or "your") agree to these Terms and our Privacy Policy, which is incorporated herein by reference. These Terms apply to all users, including visitors, registered users, and paying customers.
If you are using the platform on behalf of a business or legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
RealBody.AI is a technology platform that provides administrative assistance services for entrepreneurs and small business owners. Our services include:

Heimat LLC is not a law firm, is not licensed to practice law, and does not provide legal advice. Heimat LLC is not a certified public accounting firm, is not licensed to provide tax advice, and does not provide accounting, tax, or financial advisory services. No attorney-client relationship, CPA-client relationship, or financial advisory relationship is formed by your use of RealBody.AI.
Nothing on the RealBody.AI platform, in any document generated by the platform, in any email from our team, or in any communication from Heimat LLC constitutes legal advice, tax advice, or financial advice.
You are strongly encouraged to consult a licensed attorney for legal advice regarding your LLC, business structure, liability exposure, contracts, and regulatory compliance. You are strongly encouraged to consult a licensed CPA or tax professional for advice regarding your tax obligations, including but not limited to income taxes, self-employment taxes, payroll taxes, and any international tax obligations.
To use the RealBody.AI platform, you must:
You agree to provide accurate, current, and complete information during registration and to promptly update that information if it changes. Providing false, misleading, or incomplete information — including to a government agency in connection with your filing — is a violation of these Terms and may constitute fraud or a federal offense.
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at support@realbody.ai if you suspect unauthorized access to your account. We are not liable for any loss resulting from unauthorized use of your account.
One account per person or business. Creating multiple accounts to circumvent limitations, refund policies, or other restrictions is prohibited.
By completing the formation process, you (the "Customer") explicitly authorize Heimat LLC, operating as RealBody.AI, to act as your designated third-party representative (the "Third Party Designee") for the sole purpose of preparing and submitting IRS Form SS-4 (Application for Employer Identification Number) on your behalf.
This authorization means:
By proceeding, you confirm that the information provided is accurate and that you understand you are authorizing Heimat LLC to submit this form on your behalf, as permitted under the Third Party Designee section of IRS Form SS-4.
Additionally, you confirm that:
The person named as the "Responsible Party" on IRS Form SS-4 is you — the individual customer — not your LLC, not any AI system, and not Heimat LLC. By obtaining an EIN through our platform, you accept all responsibilities associated with being the Responsible Party, including:
Heimat LLC bears no responsibility for any tax obligations, penalties, interest, or liabilities arising from the operation of your LLC. You are personally and exclusively responsible for your LLC's tax compliance.
A one-time formation fee of $899.00 is charged at the time you initiate the LLC formation process. This fee covers: Wyoming Articles of Organization filing, Operating Agreement generation, registered agent service coordination, EIN application submission, and initial setup of your RealBody.AI account and associated services.
The $899 formation fee is non-refundable once your Articles of Organization have been submitted to the Wyoming Secretary of State. See Section 8 (Refund and Cancellation Policy) for complete details.
After formation, continued access to your RealBody.AI dashboard, phone number, and platform features requires a subscription:
Subscription fees are charged to the payment method on file at the start of each billing period. All fees are in U.S. dollars.
Payments are processed by Stripe, Inc. By providing payment information, you authorize Heimat LLC to charge your payment method for all applicable fees. You agree to Stripe's terms of service in connection with payment processing. We do not store your full credit card number — payment data is handled entirely by Stripe.
Our fees do not include applicable sales taxes, VAT, or other taxes. Where required by law, applicable taxes will be added to your invoice.
The $899 formation fee is fully refundable if you cancel before your Articles of Organization have been submitted to the Wyoming Secretary of State. Once the filing has been submitted to the Wyoming SOS, the formation fee is non-refundable. You will receive an email confirmation when your filing has been submitted, so you can act promptly if you wish to cancel before submission.
To request a pre-filing refund, contact us at support@realbody.ai or cancel directly from your account dashboard.
You may cancel your subscription at any time. There are no cancellation fees and no minimum commitment period.
How to cancel:
Alternatively, you may cancel by emailing support@realbody.ai with your account email and the subject line "Cancel Subscription." We will process your cancellation within one business day.
Upon cancellation:
AUTOMATIC RENEWAL NOTICE: Your RealBody.AI subscription automatically renews at the end of each billing period (monthly or annual, depending on your plan) at the then-current subscription rate, unless you cancel before the renewal date.
For monthly subscribers: Your subscription renews on the same calendar day each month. For example, if you subscribed on the 10th, it renews on the 10th of each subsequent month.
For annual subscribers: Your subscription renews on the same calendar date each year.
You will receive a renewal reminder email at least 7 days before your annual renewal date. Monthly subscribers may check their next renewal date in their dashboard at any time.
To avoid being charged for the next billing period, you must cancel before the renewal date. Cancellation instructions are provided in Section 8 above. Cancellation takes effect at the end of the current billing period — you will not receive a partial refund for the current period.
This disclosure is provided in compliance with California Business and Professions Code §17602 and similar consumer protection statutes.
In accordance with the Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001 et seq.) and the Uniform Electronic Transactions Act (UETA) as adopted in Wyoming, you consent to conducting business electronically with RealBody.AI and to receiving all notices, disclosures, and communications from us electronically, to the email address associated with your account.
Electronic Document Consent: By creating an account and proceeding with LLC formation, you consent to receive the following documents electronically:
This consent satisfies the requirements of the Electronic Signatures in Global and National Commerce Act (E-SIGN Act), 15 U.S.C. § 7001. You have the right to withdraw this consent at any time by contacting support@realbody.ai, though withdrawal may affect your ability to use the service. You may also request paper copies of any document at no charge.
Your electronic signature on any document through our platform is legally binding to the same extent as a handwritten signature. You are responsible for maintaining a valid email address on your account and for ensuring our emails are not blocked by spam filters.
To obtain a Federal EIN for your LLC, the IRS requires that a "Responsible Party" be identified on Form SS-4, and that person's Social Security Number (SSN) or Individual Taxpayer Identification Number (ITIN) be provided. By proceeding with EIN application through our platform, you explicitly authorize us to collect and use your SSN or ITIN for this limited purpose.
How we handle your SSN:
If you are not comfortable providing your SSN through our platform, do not proceed with the EIN application service. You may obtain an EIN directly from the IRS by filing Form SS-4 yourself at irs.gov.
RealBody.AI welcomes international customers (individuals or entities located outside the United States). However, international customers should be aware of the following important differences and obligations:
We will file your Wyoming Articles of Organization with the Wyoming Secretary of State on your behalf, regardless of your country of residence. Wyoming law does not require LLC members or managers to be U.S. residents or citizens.
International customers who do not have a U.S. Social Security Number or ITIN cannot use our automated EIN filing service. We will prepare a pre-filled IRS Form SS-4 for you, but you are responsible for submitting it directly to the IRS via fax to the IRS International EIN fax line. Detailed instructions will be provided in your account dashboard.
ANNUAL FILING OBLIGATIONS FOR FOREIGN-OWNED LLCs: If you are a non-U.S. person who owns a U.S. LLC, your LLC is likely classified as a "foreign-owned domestic disregarded entity" for U.S. tax purposes. Such entities are required to file the following with the IRS annually:
FAILURE TO FILE FORM 5472 CARRIES A PENALTY OF $25,000 PER YEAR, PER FAILURE. These are your obligations as the LLC owner. Heimat LLC does not prepare, file, or submit these forms on your behalf. You are strongly advised to retain a U.S. CPA or international tax attorney familiar with foreign-owned U.S. entity compliance.
Business banking services through Unit.co / i3 Bank are available to U.S. customers only. International customers are not eligible for the banking setup service.
As part of the RealBody.AI platform, we offer a one-time non-custodial Ethereum-compatible crypto wallet generation service. You must understand and accept the following before using this feature:
IMPORTANT: Save your private key immediately and securely when it is displayed. Once you close or navigate away from the key display screen, the key is gone forever. Heimat LLC bears no responsibility for lost private keys or lost funds.
Business banking services are provided through a partnership with Unit.co, whose banking services are powered by i3 Bank, Member FDIC. Banking services are available to eligible U.S. customers only.
Business phone number provisioning is offered through the RealBody Phone API, which is powered by Telnyx LLC, a third-party telecommunications carrier. By activating a business phone number:
We prepare and submit filings and applications on your behalf, but we do not control the decisions of third-party agencies and institutions. We make no guarantee, warranty, or representation that:
Processing times vary and are outside our control. We will provide you with confirmation numbers and status updates as they become available. If a filing is rejected, we will notify you and, where possible, assist you in correcting and resubmitting at no additional charge for the resubmission itself (government filing fees, if applicable, are the customer's responsibility).
Wyoming law requires all LLCs to file an Annual Report with the Wyoming Secretary of State and pay the associated fee (currently $52 per year — $50 base fee + $2 processing fee per Wyoming Secretary of State). This is a legal obligation of your LLC. The Annual Report is due on the first day of the anniversary month of your LLC's formation. Failure to file can result in administrative dissolution of your LLC by the state.
Heimat LLC does not automatically file your Annual Report on your behalf unless you have enrolled in a specific annual compliance add-on service. You are responsible for monitoring your LLC's compliance obligations. We will send you reminder emails, but it is your responsibility to ensure timely filing.
Your LLC's registered agent is Registered Agents Inc, located at 30 N Gould St Ste R, Sheridan, WY 82801. Your active subscription includes coordination with the registered agent for receipt of legal notices. If your subscription lapses:
You are responsible for ensuring your LLC always has a registered agent on file with the Wyoming SOS. Failure to maintain a registered agent may result in administrative penalties or dissolution under Wyoming law.
If you wish to dissolve your LLC, you must file Articles of Dissolution with the Wyoming Secretary of State. This is your responsibility. We do not provide dissolution services unless specifically offered as a separate paid service.
Company property: The RealBody.AI platform, website, software, design, trademarks, trade names, and all proprietary technology are the exclusive property of Heimat LLC. You are granted a limited, non-exclusive, non-transferable, revocable license to use the platform solely for the purpose of forming and managing your LLC through our services. You may not copy, modify, reverse-engineer, distribute, or create derivative works from any part of the platform.
Your property: Documents generated for your LLC — including your Articles of Organization, Operating Agreement, and EIN confirmation letter — are your property. Heimat LLC claims no ownership over the specific documents generated for your LLC.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HEIMAT LLC'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE REALBODY.AI PLATFORM — WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY — SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO HEIMAT LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
IN NO EVENT SHALL HEIMAT LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS OPPORTUNITY, LOSS OF DATA, LOSS OF GOODWILL, LOSS OF CRYPTOCURRENCY OR DIGITAL ASSETS, COSTS OF PROCUREMENT OF SUBSTITUTE SERVICES, OR ANY OTHER INTANGIBLE LOSS, EVEN IF HEIMAT LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ASSERTED AND REGARDLESS OF WHETHER HEIMAT LLC WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
You agree to defend, indemnify, and hold harmless Heimat LLC, its officers, directors, members, employees, agents, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
THE REALBODY.AI PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HEIMAT LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO: IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
HEIMAT LLC DOES NOT WARRANT THAT: (A) THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) ANY DEFECTS WILL BE CORRECTED; (C) THE PLATFORM IS FREE OF VIRUSES OR HARMFUL COMPONENTS; (D) ANY FILING OR APPLICATION SUBMITTED ON YOUR BEHALF WILL BE ACCEPTED OR APPROVED BY THE RELEVANT GOVERNMENT AGENCY OR INSTITUTION; OR (E) THE RESULTS OBTAINED FROM USING THE PLATFORM WILL BE ACCURATE, RELIABLE, OR MEET YOUR REQUIREMENTS.
Before initiating arbitration, you agree to contact us at support@realbody.ai and provide a written description of your dispute, the relief sought, and your contact information. We will attempt to resolve the dispute informally within 30 days. If we cannot resolve it informally, either party may initiate arbitration.
Any dispute, claim, or controversy arising out of or relating to these Terms, or the breach, termination, enforcement, interpretation, or validity thereof, or your use of the RealBody.AI platform, shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable. The arbitration shall be conducted in Sheridan County, Wyoming, or remotely if both parties agree.
The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
YOU AND HEIMAT LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS OR REPRESENTATIVE PROCEEDING.
Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration. Nothing in this section prevents either party from making claims in small claims court for disputes within that court's jurisdiction.
You may opt out of this arbitration agreement by sending written notice to support@realbody.ai within 30 days of first creating your RealBody.AI account. Your notice must include your name, account email, and a clear statement that you are opting out of arbitration.
These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict-of-law principles. To the extent any matter proceeds in court (outside arbitration), the exclusive venue shall be the state or federal courts located in Sheridan County, Wyoming, and you consent to personal jurisdiction therein.
We reserve the right to modify these Terms at any time. When we make material changes, we will:
Your continued use of the platform after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must cancel your subscription and cease using the platform before the effective date.
You may cancel your account at any time by following the cancellation instructions in Section 8. Cancellation of your subscription does not dissolve your LLC.
We may suspend or terminate your account and access to the platform at any time, with or without notice, if:
Upon termination, your right to access the platform ceases. Sections 6, 10, 11, 19, 20, 21, 22, and 23 of these Terms survive termination.
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Heimat LLC regarding your use of the RealBody.AI platform and supersede all prior agreements.
Severability: If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
No Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it in the future.
Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
Force Majeure: We are not liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, government actions, natural disasters, pandemics, internet infrastructure failures, or actions of third-party service providers.
